The ideal candidate will have a strong background in MA, business formation, corporate governance, and contract drafting and negotiation. Job Duties:Handle MA transactions, including due diligence and contract negotiation.Assist in the formation of business organizations, including drafting operating agreements, shareholder agreements, and buy/sell agreements.Provide counsel on corporate governance matters.Draft and negotiate corporate documents such as distribution agreements, commercial contracts, and bank financing agreements.Offer general business advice and counseling to clients.Conduct legal research and analysis.Communicate effectively with clients, colleagues, and external parties. Requirements:4+ years of corporate/transactional experience.Juris Doctor (J.D.) degree from an accredited law school.Admitted to practice law in the state of New York.Strong understanding of corporate law principles.Experience with MA transactions and contract drafting and negotiation.Excellent communication and interpersonal skills.Ability to work independently and as part of a team.
