Candidates must possess superior academic credentials, excellent written and interpersonal skills, and a solid understanding of SEC and stock exchange rules applicable to MA transactions.Duties:Manage significant individual responsibilities within MA transactions.Lead or assist in both public and private company MA transactions.Draft and review sophisticated corporate documentation.Ensure compliance with SEC regulations and stock exchange rules.Provide legal advice and guidance on MA matters.Conduct due diligence investigations.Collaborate with clients, opposing counsel, and internal teams.Requirements:4-6 years of experience, specifically in MA.Strong general corporate transactional background.Specific experience in public and private company transactions.Working knowledge of market terms and SEC regulations.Superior academic credentials.Education:Juris Doctor (J.D.) degree from an accredited law school.Certifications:Admission to the California State Bar or eligibility for reciprocity.Skills:Proficiency in drafting and reviewing complex corporate documentation.Strong understanding of SEC regulations and stock exchange rules.Excellent written, interpersonal, and communication skills.Ability to work effectively both independently and within a team.Attention to detail and ability to handle multiple tasks under tight deadlines.
